of the Minutes SIGNS Russell Sign Co. made a presentation of samples of materials and styles for signs for our entrances. The price would range from $300-$700 per sign, depending on materials and construction. Lowell will prepare an item for the Bulletin asking Innis Arden artists to submit design ideas. Wagar moved, Allen seconded, the following. Motion: Action: SHORELINE SCHOOLS Dan Wilson spoke on behalf of Citizens for Shoreline Schools in support of the school levy to be voted upon on February 5. He noted that this is not an additional tax but rather will maintain our present commitment. 24% of the operating budget comes from the levy for salaries, teachers, special education, after school sports, mediation, highly capable programs, etc. In order to pass, at least 40% of the number of votes cast at the last election must be voted on the levy issue, and 60% of that vote must be in favor. Further information is available at the Web site: www.renewourcommitment.org TRAFFIC Michael Rasch reported on his extensive efforts to get information on the requirements for having stop signs installed at several intersections in Innis Arden, and in particular on Ridgefield Rd. On Thursday, November 15, in the Spartan Room at Shoreline Center, the Neighborhood Traffic Safety Program will hold a meeting to get community input. TOWN HALL MEETINGS Marc Weinberg reported that three meetings have been held to develop survey questions, with an average of about 25 people at each meeting. The areas of interest have been grouped into six subjects. Discussions have included goals, objectives, how to administer, how to keep interest alive after the survey is done. There will be another meeting tomorrow, November 14, at 7:30 in the Clubhouse. They hope to have a draft survey ready to present to the Board at the January meeting. GROUSE RESERVE The Grouse Reserve Neighborhood Association, Inc., has hired a new planner and has scheduled another meeting for tomorrow night. BYLAWS The adoption of mandatory dues requires some changes in the bylaws. Language for revision was discussed. For Section 3, the proposed language was changed to read as follows: A.
The proposed annual budget and proposed dues will be sent to the shareholders
not less than 14 nor more than 60 days before the annual meeting of the
shareholders. In addition, language will be added to D similar to that found in the Mill Creek regulations pertaining to lawyers’ fees and collection costs. Laskin will provide this. For Article IV, Section 5, Pam Smit will work on a restatement. REVISION OF CERTIFICATE OF INCORPORATION Laskin discussed the various options. Currently, we are a for-profit corporation, which entails the generation of some taxable income, both federal and B&O. In actual fact, we are a membership corporation, and it might be financially advantageous to dissolve the present Articles of Incorporation and replace them with new ones. After discussion of the issues involved, Phelps moved, Wagar seconded the following: Motion: Action: After the audit is completed and information is available on incorporation alternatives, the Board will have a special meeting on Articles of Incorporation and non-profit status. Laskin will find out if the requirement for dissolution and new articles requires a 2/3 vote of all shareholders or 2/3 vote of shareholders voting in person and by proxy, and report back at the next Board meeting. TREASURER Howard raised the question as to whether we should change to having a management company do our monthly financial statements. Unlike our present arrangement, these statements could be published in the Bulletin. She recommended that we have a line item in the budget for capital improvements and contingency funds. Howard presented a draft proposed budget for 2002 and reminded committee chairs that they should have their proposed budgets to her by November 20. CLUBHOUSE Fosmire reported that the new furnace has been installed. We need to replace three doors, and he has an estimate of $3600, which all consider to be high. Although the openings are not standard, it was felt we could do better. Motion: Action: GROUNDS Smit reported for Skeel, who submitted a report on costs for fencing for Blue Heron Reserve and another on costs for policing by off-duty King County officers. Discussion was tabled. RESERVES Wagar reported that the Reserves Committee met on October 17 and November 12. A subgroup met on October 30 and November 7 to begin drafting an amended VMP. Some progress has been made, but it was thought best to have a meeting with the City before going further. A letter was drafted, which Wagar submitted to the Board, to be sent to Shoreline requesting a meeting to discuss revision of our Vegetation Management Plan with Scott Jepsen, Mayor; Tim Stewart, Director of Planning & Development; and Gabe Snedeker, Land Use/Environmental Planner; and representatives of our community. After discussion, Wagar moved, Laskin seconded the following: Motion: Action: At the November 12 meeting, Michael Rasch demonstrated that the City’s 1999 digitized aerial photo coverage could be used to determine precisely what trees are where and what effects they have or do not have on views, including how trees in reserves and on private property do or do not line up. ACTIVITIES Smit reported that the Board had approved by email her motion to hire Tim Walsh to finish work on the playground for $100, and the Board confirmed this. Smit reported that the Bulletin printing expenses have gone up because of the new format and printing service being used, and the Activities Committee would like the Board to assume the costs. OF ANNUAL MEETING According to Article 1, sec. 1 of the bylaws, the annual meeting of the shareholders shall be held on the second Wednesday in January at 8:00 p.m. This sets the date for 2002 as January 9. BOARD OF DIRECTORS ELECTIONS AT THE ANNUAL MEETING Three Directors will be elected to the Innis Arden Board at the Annual Meeting on January 9th, 2001. Candidates for the Board must submit their names to the secretary, Elaine Phelps, either in person, or by mail (17238 10th NW) or by email (ephelps@cmc.net), by the end of the December 4 meeting, if they want their names to appear on the printed ballot. Additional nominations may be made from the floor at the annual meeting. At the same time, candidates who wish to have a statement in the Bulletin should submit the statement (up to 200 words) to the Bulletin editor, Carol Solle by December 11th. Residents who wish to have their ballots sent to an address not in Innis Arden should let the secretary know as soon as possible. A preliminary inventory done by Dr. Risse disclosed that our Club records are quite spotty. We would like to urge all residents and especially former board members to check their closets and other storage facilities for all documentation pertinent to the Club. His next step will be to conduct a series of personal interviews with long standing residents. The right person will have the opportunity to not only help with filing and organization but will be able to conduct research for a User Guide for the archives and a timeline. November 15th, a number of Innis Arden residents attended the
NTSP meeting concerning Ridgefield Road. The program outlined the problems
with the road and possible solutions. The results were positive and the
City is going to take some steps to try and reduce the problems that were
outlined. During the meeting, it came out that a number of accidents
which occurred on the road had never been reported to the City or Police
and therefore accidents were not considered a problem on the road. However,
it was reported at the meeting that, in addition to several animals dying
on the road after being hit by cars, one person had actually been hit
by a car while he was getting his mail. But because the accidents were
never reported to the City or Police, they were a statistical nonentity.
